Terms of Service
These terms govern the use of icpdigitalco.com and form the general conditions of any service provided by ICP Digital LLC. A written proposal or agreement signed with you prevails over these terms where they differ.

1. Who we are
ICP Digital LLC ("ICP Digital", "we") is a limited liability company registered in the State of New Mexico, USA, with its business address at 1209 Mountain Road Pl NE, Ste R, Albuquerque, NM 87110, USA. Email: info@icpdigitalco.com.
2. Use of the website
You may browse this website for information about our services. You agree not to misuse it: no attempts to gain unauthorised access, no automated mass submissions through the form, no content that is unlawful, abusive or infringes the rights of others. Information on the website is general and may change without notice.
3. Our services
We provide digital sales and marketing services to businesses, such as marketing direction, sales approach, alignment of marketing and sales, follow-up and review. The specific scope, deliverables, timing and responsibilities of each engagement are set out in a written proposal accepted by you. Formats and scenarios on the website are descriptions and examples, not offers capable of acceptance.
4. Fees and payment
Fees, currency, payment schedule and any deposit are stated in the written proposal. Unless the proposal says otherwise, invoices are payable within 15 days of the invoice date. Fees exclude taxes and exclude third-party costs such as advertising spend, software subscriptions or platform fees, which are paid by you directly or reimbursed at cost after your written approval. We may suspend work while an invoice is more than 15 days overdue, after giving notice.
5. Your responsibilities
You provide accurate information, timely feedback and the access we reasonably need. You remain responsible for your products, your offers, your prices, the claims you approve for publication and your compliance with the laws and platform rules that apply to your business. Where we work inside your accounts, those accounts remain yours and under your control.
6. Cancellation and refunds
Monthly engagements: either party may end the engagement with 30 days' written notice; fees for the notice period remain due. Defined projects: you may cancel by written notice at any time; you pay for work performed up to the cancellation date and for third-party costs already committed. Any amount you prepaid for work that has not started is refunded within 30 days of cancellation. A signed proposal may set different terms, which then apply. Nothing in these terms limits any non-waivable right you have under consumer law.
7. No guarantee of results
Sales and marketing results depend on factors outside our control, including your offer, market, budget, competitors and the decisions of platforms and buyers. We perform our services with reasonable skill and care, but we do not guarantee any level of sales, leads, revenue, rankings or return on investment.
8. Intellectual property
Once paid in full, the deliverables created specifically for you belong to you. We keep ownership of our pre-existing materials, methods, templates and know-how, and grant you a non-exclusive licence to use them as part of the deliverables. Unless you object in writing, we may mention that we worked with your company, without disclosing confidential information. The content and design of this website belong to ICP Digital LLC or its licensors.
9. Confidentiality
Each party keeps confidential the non-public information it receives from the other and uses it only for the engagement. This duty continues for three years after the engagement ends, or longer for trade secrets.
10. Limitation of liability
To the maximum extent permitted by law, ICP Digital is not liable for indirect or consequential losses, lost profits, lost revenue or lost data. Our total liability arising from an engagement is limited to the fees you paid us for that engagement in the three months before the event giving rise to the claim. These limits do not apply to liability that cannot be limited by law, such as fraud or wilful misconduct.
11. Governing law and disputes
These terms and any engagement are governed by the laws of the State of New Mexico, USA, without regard to its conflict-of-law rules. The parties will first try to resolve any dispute in good faith by written notice and discussion for 30 days. Failing that, the state and federal courts located in Bernalillo County, New Mexico, have exclusive jurisdiction, unless mandatory law gives you the right to bring a claim elsewhere.
12. Changes and contact
We may update these terms; the version published on the date of a proposal applies to that engagement. Questions: info@icpdigitalco.com.
